Pursuant to the terms of the company's remuneration policy, I am currently entitled to receive my annual director's fees for services I provided to the Board in 2020 and for a pro rata portion of 2021. These fees will be paid to me on or before July 30, 2021. Additionally, I am entitled to receive a stipend of € 2,000 for each Director and/or Audit Committee meeting that I attend during the calendar year. Stipends for meetings that I attend are paid to me monthly.

Pursuant to Section 4.3 of the Iberdrola S.A. Directors Remuneration Plan, nonexecutive directors in good standing who resign for reasons "not exclusively voluntary" are subject to a noncompete obligation in the private sector during their remaining term as directors or two years (whichever period is shorter). As consideration for this noncompete obligation, such directors are entitled to a payment of 90% directors fees they would have received during the remainder of their term, not to exceed two years. This amount is € 455,400 and will be paid before I assume the duties.
